To form a 501(c)(3) nonprofit organization, the number of required members depends on what you mean by “members”:

If you mean Board Members (Directors)

:Most states require at least 3 board members to start a nonprofit.

  • These 3 people cannot all be related by family or business ties.

  • Roles usually include:


    • President/Chair

    • Secretary

    • Treasurer


IRS Requirement:

The IRS does not specify a number of board members but expects a governing body that ensures accountability. Three unrelated people is a standard and accepted minimum.

If you mean Organization Members (like a club with voting members)

  • These are optional.

  • Some nonprofits are “member-based” (e.g., churches, clubs) where members vote on decisions.

  • Others are “board-run” with no general members—only the board governs.

You do not need general members to file for 501(c)(3) status unless your organization’s structure includes them.💜
